Terms of Service

This Agreement ("Agreement") is a legally binding contract between Restaurant Codex ("Foodhub and Restaurant Codex LLC, Miami, Florida US") and the entity or person ("Client," "Owner," or "You") using our software. By accessing the Dashboard or Activity Feed, you agree to these terms.

1. Scope of Service​

Restaurant Codex provides a cloud-based operations management platform. Services include:

  • Centralized Knowledge Base: Secure hosting of Recipes and Standard Operating Procedures (SOPs).
  • Operational Control: Task delegation, staff scheduling, and real-time activity monitoring.
  • Corporate Analytics: Multi-site views for aggregated performance reporting.

2. Intellectual Property & Export Restrictions​

  • Software Ownership: All "own code," architecture, UI/UX, and database logic are the sole property of Restaurant Codex.
  • No Export Policy: To maintain the integrity of our optimization algorithms and platform security, the Service does not currently support the export of Recipes or SOPs. You agree not to use third-party tools to scrape, screen-record, or manually extract this data in bulk from the platform.
  • Client Content: You own the raw data (the text of your recipes). However, once integrated into the Restaurant Codex system, it is subject to the platform's viewing and access controls.

3. Subscription, Billing, and Corporate Structure​

  • Commercial Use: This Service is for professional restaurant management only. You represent that you are a valid business entity.
  • Payment: Fees are billed monthly or annually. Failure to maintain a valid payment method will result in immediate "Read-Only" status followed by account suspension.
  • Multi-Site Licensing: Licenses are granted per location. Unauthorized sharing of a single site login across multiple physical locations is a material breach of this Agreement.

4. Limitation of Liability & Indemnification​

  • Operational Risks: We are not responsible for the quality of food produced, staff errors, or physical incidents occurring at your restaurant sites.
  • Indemnification: You agree to indemnify and hold Restaurant Codex harmless from any claims, damages, or legal fees arising from your breach of these terms or your staff's misuse of the platform.
  • Liability Cap: Our total liability for any claim is capped at the total fees paid by you in the 6 months preceding the incident.
